1. Agreement to Terms

Welcome to ThinkFlow AI Consulting. These Terms of Service ("Terms") govern your access to and use of our website at think-flow.tech and our AI consulting services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services. These Terms apply to all visitors, users, and clients.

2. Description of Services

ThinkFlow provides AI consulting services including but not limited to:

• AI readiness assessments and strategy development
• Custom AI solution design and implementation
• Integration of AI tools with existing business systems
• Predictive analytics and data analysis solutions
• Natural Language Processing (NLP) implementations
• Workflow automation and AI-powered assistants
• Training and ongoing support services

Services are provided across various industries including Real Estate, Finance, Healthcare, Retail, Manufacturing, Field Services, Professional Services, Legal, and Creators & Media.

3. Subscription Plans and Pricing

3.1 Industry-Specific Monthly Subscriptions

We offer three subscription tiers for each industry vertical:

• Starter Plan ($199/month): Basic AI tools and email support
• Growth Plan ($299/month): Advanced features with priority support
• Enterprise Plan ($399/month): Full-featured with dedicated support

3.2 One-Time Implementation Packages

We also offer comprehensive one-time implementation packages:

• Foundation ($5,999): Complete AI setup with 90-day support
• Professional ($9,999): Advanced implementation with 6-month support
• Enterprise ($14,999): Full-scale transformation with 12-month support

3.3 Billing and Payment

• Monthly subscriptions are billed at the beginning of each billing cycle
• One-time packages are billed in full upon purchase
• We accept credit cards, debit cards, and bank transfers (for enterprise clients)
• All prices are in USD and exclude applicable taxes
• Invoiced clients receive NET 30 payment terms

4. Cancellation and Refunds

4.1 Monthly Subscriptions

• You may cancel your subscription at any time by contacting support@think-flow.tech
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months
• Access to services continues until the end of the paid period

4.2 One-Time Packages

• Full refund available within 14 days if implementation has not begun
• 50% refund available within 30 days if less than 25% of work is completed
• No refunds after 30 days or once 25% of work is completed
• Refund requests must be submitted in writing to support@think-flow.tech

5. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information during registration and throughout our engagement
• Maintain the confidentiality of your account credentials
• Grant necessary access to systems and data required for service delivery
• Respond to requests for information or feedback in a timely manner
• Ensure your use of our AI solutions complies with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Notify us immediately of any security breaches or unauthorized account access

6. Intellectual Property Rights

6.1 ThinkFlow Property

ThinkFlow retains all rights, title, and interest in our proprietary methodologies, frameworks, tools, and pre-existing intellectual property. This includes our AI algorithms, training materials, and consulting processes.

6.2 Client Property

You retain all rights to your business data, proprietary information, and any pre-existing intellectual property you provide to us. We only use your data as necessary to provide our services.

6.3 Deliverables

Upon full payment, you receive a perpetual, non-exclusive license to use the custom AI solutions and deliverables created specifically for your engagement. We may retain anonymized learnings for improving our services.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. Confidential information includes:

• Business strategies, plans, and financial information
• Customer and supplier data
• Technical specifications and trade secrets
• Any information marked as confidential

Confidentiality obligations survive termination of services for a period of 5 years.

8. Service Level Commitments

8.1 Support Response Times

• Starter Plan: Email support within 48 business hours
• Growth Plan: Priority support within 24 business hours
• Enterprise Plan: 24/7 support with 4-hour response for critical issues

8.2 Implementation Timeline

Project timelines are provided as estimates and may vary based on project complexity, client responsiveness, and scope changes. We commit to keeping you informed of any significant timeline changes.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ThinkFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the total amount paid by you in the 12 months preceding the claim
• We do not guarantee that AI solutions will achieve specific business outcomes or results

10. Indemnification

You agree to indemnify, defend, and hold harmless ThinkFlow and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our Services in violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party intellectual property or other rights
• Any data you provide to us that causes harm to third parties

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of any AI-generated outputs
• Uninterrupted or error-free service operation
• Results or outcomes from using our AI solutions

12. AI-Specific Terms

Given the nature of AI technology, you acknowledge that:

• AI solutions may produce varying results and require ongoing optimization
• AI outputs should be reviewed by qualified humans before critical business decisions
• AI systems may require periodic updates and maintenance
• We cannot guarantee AI solutions will work perfectly with all third-party systems
• Regulatory requirements for AI may evolve, potentially affecting solution functionality

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements signed during your engagement, constitute the entire agreement between you and ThinkFlow regarding our Services.
